These Terms of Service ("Terms") govern your access to and use of TapTip, a product of Thankyou! Inc. ("Thankyou!", "we", "us", or "our"). By creating an account or using TapTip you agree to these Terms. If you do not agree, do not use the Service.
1. Description of Service
TapTip is a digital tip facilitation platform that allows service workers ("Recipients") to receive tips from customers ("Tippers") via NFC, QR codes, or direct links. TapTip connects Recipients with Tippers and processes payments through Stripe. We are not a bank and do not hold funds on your behalf.
2. Eligibility
You must be at least 18 years old and capable of forming a legally binding agreement to use TapTip. By using the Service you represent that you meet these requirements. Recipients must be legally authorized to receive income and are responsible for any applicable tax obligations on tips received.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when registering and to keep it updated.
You may not create accounts on behalf of others without their authorization, impersonate another person, or use a username that is offensive, misleading, or violates any third-party rights.
4. Platform Fees
TapTip charges a platform fee on each completed tip:
- 5% of the tip amount, with a minimum fee of $0.10 per transaction.
- This fee is deducted at the time of the transaction before the tip is transferred to the Recipient's Stripe account.
- Stripe's own payment processing fees apply separately and are governed by your Stripe agreement.
We reserve the right to modify our fee structure with 30 days' notice to affected users.
5. Payment Processing
All payments are processed by Stripe, Inc. By using TapTip you agree to be bound by Stripe's Services Agreement and, for Recipients using Stripe Connect, Stripe's Connected Account Agreement.
Stripe is solely responsible for the processing, settlement, and disbursement of funds. TapTip is not liable for any actions or omissions of Stripe.
6. Acceptable Use
You agree not to use TapTip to:
- Process payments for illegal goods or services.
- Engage in fraud, money laundering, or other financial crimes.
- Submit false, misleading, or unauthorized transactions.
- Circumvent or abuse the platform fee structure.
- Harass, impersonate, or harm other users.
- Violate any applicable law, regulation, or the terms of any third-party service (including Stripe).
- Use automated tools to scrape, stress-test, or reverse-engineer the Service.
7. No Liability for Failed Payments
Tips are subject to authorization and processing by Stripe. TapTip does not guarantee that any tip will be successfully processed or delivered. We are not responsible for:
- Declined, failed, or reversed card transactions.
- Delays in fund disbursement due to Stripe processing times or holds.
- Payment failures caused by network outages, bank rules, or card limitations.
- Funds held, frozen, or seized by Stripe under their terms.
Recipients should contact Stripe directly for questions about their payout schedule or account holds.
8. Account Termination
By you. You may close your account at any time by contacting us at thankyoutaptip@gmail.com. Account closure does not entitle you to a refund of any platform fees already collected.
By us. We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law or our payment processors. In cases of suspected fraud we may suspend access immediately. We will make reasonable efforts to notify you of non-emergency terminations.
9. Intellectual Property
TapTip and all associated branding, design, software, and content are the property of Thankyou! Inc. You may not copy, modify, distribute, or create derivative works without our written permission. Your account content (display name, bio, tip page) remains yours; you grant us a limited license to display it to operate the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THANKYOU! INC. AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, TIPS, PROFITS, OR DATA ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE PLATFORM FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Changes to These Terms
We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes via email or a notice on the Service. Continued use after changes take effect constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms will be resolved in the state or federal courts located in New York County, New York.
